On July 8, 2025, the Delaware Court of Chancery granted a motion filed by Williams & Connolly client the Special Litigation Committee (“SLC”) of the Board of Bumble Inc. seeking to terminate derivative litigation filed in 2023. The court held that the SLC was independent, and appropriately investigated plaintiffs’ claims and made a reasonable judgment in seeking to dismiss them entirely. The SLC investigated shareholder breach of fiduciary duty claims alleging that the company’s controlling shareholder used insider information in selling stock pursuant to a secondary offering in late 2021. The SLC presented its findings and analysis in a non-public report to the court.
